Sierrawing is an AI-powered visual intelligence platform that helps organizations analyze compatible camera feeds, images, video, and other visual data to identify configured events and generate operational insights.

Our services may include:

• AI-powered visual detection
• Computer vision
• Video analytics
• Real-time monitoring
• Event detection
• Intelligent alerts
• Operational analytics
• APIs and webhooks
• Cloud, edge, and hybrid deployment options
• Related software and support services

You may use Sierrawing only if you:

• Have the legal capacity to enter into a binding agreement
• Are authorized to act on behalf of an organization, where applicable
• Provide accurate account information
• Comply with these Terms and applicable laws

If you create an account on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

Certain Sierrawing services require you to create an account.

You agree to:

• Provide accurate and complete information
• Keep your account information current
• Maintain the confidentiality of your login credentials
• Use reasonable security measures to protect your account
• Notify us promptly of unauthorized access
• Accept responsibility for activities conducted through your account

You must not share account credentials in a manner that violates your subscription or security requirements.

Subject to these Terms and your applicable subscription or order, Sierrawing grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the services for your internal business purposes.

Sierrawing may modify, improve, update, or discontinue features from time to time.

Certain features may require:

• Additional fees
• Compatible hardware
• Specific infrastructure
• Third-party services
• An enterprise agreement

Sierrawing uses AI technologies including computer vision, deep learning, and AI inference to analyze supported visual data.

AI-generated results may include detections relating to:

• People
• Vehicles
• Safety equipment
• Restricted areas
• Occupancy
• Queues
• Other configured events

AI-generated results are probabilistic and may not always be accurate.

You acknowledge that Sierrawing's AI outputs should not be treated as guaranteed facts or as a substitute for appropriate human judgment.

You are responsible for evaluating whether the services are suitable for your particular use case.

You agree to maintain appropriate human oversight when using Sierrawing for safety, security, access control, employment, or other consequential purposes.

You must not rely solely on an AI-generated detection to make decisions where an error could cause significant harm.

Sierrawing does not guarantee that every event will be detected or that every detection will be accurate.

You may connect or upload visual data to Sierrawing, including:

• Camera feeds
• Images
• Video
• Event information
• Metadata
• Other customer-provided content

You retain ownership of your Customer Content.

You grant Sierrawing the limited rights necessary to host, process, transmit, analyze, store, and otherwise handle Customer Content solely as required to provide, secure, maintain, and improve the services, subject to applicable agreements and law.

You are responsible for all Customer Content submitted to or processed through Sierrawing.

You represent and warrant that you have all necessary rights, permissions, consents, notices, and lawful authority to provide such information to Sierrawing.

You are responsible for complying with applicable laws relating to:

• Privacy
• Data protection
• Video surveillance
• Workplace monitoring
• Employment
• Biometric information
• Public-area monitoring
• Security
• Data retention

You must not use Sierrawing to process information unlawfully or in a manner that violates the rights of others.

You must not use Sierrawing to:

• Violate applicable laws or regulations
• Infringe another person's rights
• Access accounts or systems without authorization
• Interfere with or disrupt the services
• Circumvent security controls
• Reverse engineer or attempt to extract source code, except where legally permitted
• Introduce malware or malicious code
• Abuse APIs or platform resources
• Resell the services without authorization
• Use the platform to create a competing service in violation of applicable agreements
• Attempt to bypass usage or subscription limits
• Use AI outputs for unlawful discrimination or other prohibited purposes

We may suspend or restrict access where we reasonably believe the services are being misused.

Sierrawing may offer different subscription plans based on factors such as:

• Number of cameras
• Number of locations
• AI capabilities
• Usage
• Storage
• Integrations
• Deployment requirements

Current plans and pricing are described on the Sierrawing Pricing page or applicable order form.

Enterprise customers may receive customized pricing and contractual terms.

Where a paid subscription applies:

• You agree to pay the applicable fees
• Payment information must be accurate and current
• Fees are generally billed according to the selected billing period
• Applicable taxes may be added where required by law
• Payment obligations are generally non-cancellable except as expressly provided in the applicable agreement

If payment fails or an account becomes overdue, Sierrawing may restrict or suspend access after providing appropriate notice where required.

Sierrawing may offer free trials, free plans, promotional access, or limited evaluations.

Any such access may be subject to:

• Usage limits
• Time limits
• Feature restrictions
• Camera limits
• Eligibility requirements

Unless otherwise stated, free access is provided without a guarantee of continued availability.

Sierrawing may integrate with third-party products, infrastructure, applications, or services.

Third-party services may be subject to separate terms and privacy policies.

Sierrawing is not responsible for third-party services that it does not control.

If you enable a third-party integration, you authorize the applicable data exchange required for that integration.

Where API or webhook access is available, you agree to:

• Protect API credentials
• Use reasonable request rates
• Follow applicable technical documentation
• Avoid abusive or excessive requests
• Secure webhook endpoints
• Prevent unauthorized access to integration credentials

We may impose rate limits or temporarily restrict API access where necessary to protect platform stability and security.

Sierrawing and its licensors retain all rights, title, and interest in:

• The Sierrawing platform
• Software
• Website
• Source code
• AI models
• Algorithms
• Documentation
• Interfaces
• Designs
• Branding
• Logos
• Trademarks
• Platform technology

These Terms do not transfer ownership of Sierrawing intellectual property to you.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from Sierrawing technology except as expressly permitted.

If you provide suggestions, ideas, recommendations, or other feedback regarding Sierrawing, you grant us the right to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information.

Each party may receive confidential information from the other party.

The receiving party agrees to:

• Use confidential information only for legitimate purposes
• Protect it using reasonable safeguards
• Not disclose it to unauthorized parties
• Disclose it only to personnel or service providers who need to know and are appropriately obligated to protect it

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

Sierrawing's handling of personal information is described in our Privacy Policy.

Where a customer uses Sierrawing as a service provider or processor of personal data, additional data-processing terms may apply depending on the service, customer requirements, and applicable law.

We implement reasonable technical and organizational safeguards designed to protect the services and information processed through them.

However, no system can be guaranteed to be completely secure.

You are responsible for:

• Protecting your account credentials
• Configuring appropriate access controls
• Maintaining secure connected systems
• Protecting API credentials
• Using compatible and properly secured infrastructure

We aim to provide reliable and secure services but do not guarantee that Sierrawing will:

• Always be available
• Be uninterrupted
• Be completely error-free
• Detect every event
• Produce perfectly accurate AI results
• Work with every camera or infrastructure configuration

Maintenance, updates, technical issues, network failures, third-party failures, and circumstances beyond our reasonable control may affect availability.

Support availability depends on your subscription or applicable agreement.

Support may include:

• Product assistance
• Technical troubleshooting
• Account assistance
• Integration guidance
• Deployment guidance

Enterprise customers may receive additional support or service-level commitments under a separate agreement.

We may suspend or terminate access if:

• You materially breach these Terms
• You fail to pay applicable fees
• Your use creates a security risk
• You engage in unlawful activity
• You abuse the platform
• Suspension is required by law
• Your account presents a significant risk to Sierrawing or others

You may stop using the services at any time, subject to applicable subscription and contractual obligations.

Upon termination:

• Your right to access the services may end
• Outstanding payment obligations remain due
• Applicable provisions intended to survive termination will continue
• Customer Content may be handled according to our applicable retention and deletion practices

Customers should export any information they need before termination where export functionality is available.

To the maximum extent permitted by applicable law, Sierrawing services are provided on an “as is” and “as available” basis.

We do not warrant that:

• The services will meet every requirement
• AI detections will always be accurate
• Every event will be detected
• The services will always be uninterrupted
• The platform will operate without errors
• Every camera or third-party system will be compatible

Sierrawing is an AI-assisted technology platform and should not be relied upon as the sole safety, security, emergency-response, or life-critical system.

To the maximum extent permitted by applicable law, Sierrawing and its directors, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the services.

This may include losses relating to:

• Business interruption
• Loss of profits
• Loss of revenue
• Loss of data
• Loss of goodwill
• Missed detections
• Incorrect AI detections
• Third-party service failures

To the maximum extent permitted by law, Sierrawing's aggregate liability arising out of or relating to the services will be limited to the fees paid by you to Sierrawing for the services during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sierrawing and its directors, officers, employees, affiliates, and service providers from claims, losses, liabilities, damages, and expenses arising from:

• Your misuse of the services
• Your violation of these Terms
• Your violation of applicable law
• Your Customer Content
• Your failure to obtain required permissions or consents
• Your infringement of third-party rights

Sierrawing may modify, improve, replace, or discontinue features or components of the services from time to time.

Where reasonably practicable, we may provide notice of material changes.

Changes may be necessary due to:

• Technology developments
• Security requirements
• Legal requirements
• Product improvements
• Infrastructure changes
• Customer needs

We may update these Terms from time to time.

If we make material changes, we may provide appropriate notice through the website, platform, email, or other reasonable communication methods.

The Last Updated date at the beginning of these Terms indicates when they were most recently revised.

Your continued use of Sierrawing after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to applicable law, courts located in Mumbai, Maharashtra, India shall have jurisdiction over disputes arising out of or relating to these Terms.

Sierrawing will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

• Natural disasters
• Internet or telecommunications failures
• Power outages
• Government actions
• War
• Civil unrest
• Epidemics or pandemics
• Cyberattacks
• Cloud or infrastructure provider failures
• Other events beyond reasonable control

We may provide notices through:

• Email
• The Sierrawing platform
• Website announcements
• Account notifications
• Other reasonable electronic methods

You are responsible for maintaining accurate contact information associated with your account.

These Terms, together with applicable order forms, subscription terms, privacy policies, and other agreements expressly incorporated by reference, constitute the agreement governing your use of Sierrawing services.

If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement will control to the extent of the conflict.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

The invalid or unenforceable provision will be interpreted or replaced to the extent necessary to make it enforceable while preserving its intended purpose as closely as possible.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
